Terms and Conditions The following terms and conditions govern your use of this Genus web site. By using this site you are indicating your acceptance of the following terms and conditions (the "Terms and Conditions").We reserve the right to make changes to this Site and these Terms and Conditions at any time.

Agreement; Other Documents; Changes This Agreement may not be altered, supplemented, or amended by the use of any other document(s). Any such attempt will be null and void unless otherwise agreed to in a written agreement signed by both you and Genus. If any provision of this Agreement is held to be invalid by any law, rule, order or regulation of any government or by the final determination of any state or federal court, such invalidity shall not affect the enforceability of any other provision of this Agreement. You agree that we, our directors, officers, employees or other representatives shall not be liable for damages arising from the operation, content, or use of this Site. You agree that this limitation of liability is comprehensive and applies to all damages of any kind, including without limitation direct, indirect, compensatory, special, incidental, punitive and consequential damages, damages for loss of profits, revenue, data and use, incurred by you or any third party, whether in an action in contract or tort, arising from your access to, and use of, this Site or any other hyper-linked Web site. Certain content from third party vendors may be made available as part of this Site. Neither Genus nor any of its employees is your agent or representative in governmental matters.

4. Warranty

Sale of Goods Warranty

o The company warrants to the Buyer that the goods will be free from defects in material and workmanship under normal and proper usage for a period of twelve (12) months from the date of purchase or other period specified for imported items not produced by the Company. This warranty is given to the original purchaser of the Goods only and cannot be assigned, except with the prior written agreement of the Company. All warranty claims must be made in writing and must include the date and proof of purchase. b. The Company's obligation under this warranty is limited to:-

o the replacement of the Goods; or

o the supply of equivalent Goods; or

o the payment of the cost of replacing the Goods or of acquiring equivalent Goods; or

o the payment of the cost of having the Goods repaired, at the option of the Company. The Company assigns to the Buyer the benefit of any and/or warranties furnished by the manufacturer of the Goods where the Company is not the manufacturer.

o This warranty does not cover any damage, defects or costs caused by:

o modification, alteration, repair or service of the Goods by anyone other than the Company's authorised representative;

o physical abuse to, overload of, or misuse of, the Goods, or operation of the Goods;

o any use of the Goods other than that for which it was intended; or iv. shipment of the Goods to the Company for Service.

Services Warranty

o The Company warrants to the Buyer that:-

o the Services provided by it will be rendered with due care and skill; and

o where the Buyer makes known to the Company the particular purpose for which the Services arc required or the result that it desires the Services to achieve, that the Services supplied and any Goods supplied in connection with those Services will be reasonably fit for that purpose or might reasonably be expected to achieve that result.

o The Company for a period of ninety (90) days after delivery of the Goods to the Buyer following completion of the Services carried out to the Goods, will replace any defective parts supplied by it in carrying out the Services without charge for parts or labour, and may at its option, either:-

o supply the Services again necessary to satisfy the Buyer's original instructions; or

o pay the costs of having the Services supplied again.

o Any Services required by the Buyer in addition to the warranty Services will be effected by the Company on request, provided that both labour and parts for such additional Services are paid for by the Buyer at the Company's prevailing rates.

Limitation of Liability

o Under no circumstances shall the Company be liable for any special, incidental or consequential damages, including, but not limited to, personal injury, property damage to or loss of equipment, lost profits or revenue, costs of renting replacements and other additional expenses, even if the Company has been advised of the possibility of such damages.

o The Company does not accept any condition in a Buyer's purchase order, which is at variance with the Company's limitation of liability provision contained in this Clause [3].

Definitions

o 'Buyer" means the person, firm or corporation, either to whom a Quotation is addressed or who purchases Goods from the Company.

o "Company" means Genus Limited.

o "Contract" means the agreement between the Buyer and the Seller for the purchase of Goods from the Company and includes the Quotation if given by the Company to the Buyer and these Re trading terms and conditions.

o "Goods" means all goods to be supplied by the Company to the Buyer, either by direct sale or pursuant to a Quotation given to the Buyer relating to the sale of Goods and includes Services provided by the Company to the Buyer.

o "Quotation" means the quotation given by the Company to the Buyer for the sale of Goods, which should not be interpreted as an offer, as no offer is being made for the sale of Goods.

o "Services" means all repair and other services provided by the Seller to the Buyer.

Jurisdiction

o These terms and conditions are to be interpreted in accordance with Laws of New York and the parties submit to the non-exclusive jurisdiction of the Courts of New York in regard to any disputes that may relate to the Contract.

5. Products. Genus's policy is one of on-going product update and revision. Genus may revise or discontinue Products at any time. Although availability may be indicated on the Site, we cannot guarantee product availability and products, nonetheless, may not be available. We reserve the right, without liability or prior notice, to revise, discontinue, or cease to make available any or all products.

6. Copyright and Trademark Notice All content included on this Site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software (and the compilation of such content), is the property of Genus and is protected by United States and international copyright laws. All marks indicated as registered on this Site are registered trademarks of Genus, in the United States and other countries. Other graphics, logos, page headers, button icons, scripts, and service names are trademarks or trade dress of Genus. The trademarks and trade dress on this Site may not be used in connection with any product or service that is not ours, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits us. All other trademarks not owned by us or our subsidiaries that appear on this Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.
